Introduction

Welcome to Yuppieyo. By accessing www.yuppieyo.co.uk and its related websites, services, applications or tools (Collectively referred to as “Yuppieyo”), you agree to the following terms, including those available by hyperlink, which are designed to make sure that Yuppieyo works for everyone. Yuppieyo is provided to you by Yuppieyo Limited, 239 Chase Side, London, N14 5LD, United Kingdom, registered in England and Wales with number xxxxxxxx. You and Yuppieyo.co.uk Limited are legally bound by these Terms of Use and are effective as of 20 April 2022 for current users and upon approval of new users. Acceptance of these Terms of Use is made by clicking the “Create Account” button when registering a Yuppieyo account and by otherwise accessing Yuppieyo, including posting an ad; or as otherwise indicated on Yuppieyo.

Using Yuppieyo

As a condition of your use of Yuppieyo, you agree that you will not :
· you will not violate any laws;
· post material in a threatening, abusive, defamatory, obscene, or indecent manner;
· communicate or post any message or material that is false, misleading, or deceptive;
· break any third-party rights;
· disperse spam, chain letters, or promote pyramid schemes;
· distribute viruses, malware, or any technology that may harm Yuppieyo or the interests or properties of Yuppieyo’s users.
· Imposes or contributes to imposing an unreasonable load on our infrastructure or interferes with the proper functioning of YuppieYo
· copy, modify or distribute other people’s content without their permission.
· Without our prior written permission, you will NOT utilise any robot spider, scraper, or any other automated means to access Yuppieyo and collect content;
· Gathering information about others without permission, including their email addresses;
· The copyrights and trademarks of Yuppieyo or its affiliates may not be copied, modified, or distributed.
· Without the users’ consent, you will not harvest or otherwise collect information about them, including their email addresses;
· Bypass any security measures that are used to prevent or restrict access to Yuppieyo;
· Use tools that interfere with Yuppieyo’s standard functionality, including but not limited to browser plugins, extensions, or other software designed to add, remove, or modify Yuppieyo’s functionality; or
· sell any counterfeit items or otherwise infringe the third parties’ copyright, trademark, or other rights.
The information you send to Yuppieyo is strictly your responsibility, and any consequences that may result from your post.
We have the right to refuse or remove any content that we deem inappropriate or in violation of the rules listed above.
We also reserve the right to impose temporary or permanent restrictions on a user’s use of Yuppieyo and refuse a user’s registration.
We may, at our discretion, inform other Yuppieyo users that have been in contact with you about your breach of the “Terms of Use” and/or suspicious behaviour on Yuppieyo.

Abusing Yuppieyo

Yuppieyo and the Yuppieyo community work together to keep Yuppieyo working correctly and safely.
Please use the reporting system to report issues, objectionable content, and policy violations.
We may give warnings, limit or cancel service, delete hosted content, and take technical and legal means to keep people off Yuppieyo if we believe they are violating our terms, infringing on the rights of other parties, or acting inconsistently with our policies (including, without limitation, circumventing temporary or permanent suspensions or harassing Yuppieyo employees or other users).
We are under no responsibility to monitor the information communicated or kept on Yuppieyo, whether we choose to remove hosted content or keep a user off the platform.
Furthermore, we do not accept any liability for unauthorised or unlawful content on Yuppieyo or the use of Yuppieyo by users.
Global Marketplace
Some of Yuppieyo’s features may display your ad on other sites, services, applications or tools (together with a “Platform”) that are part of the Yuppieyo community, or on third-party platforms, including social media channels.
You accept that your advertising may be broadcast on other platforms and media channels if you use Yuppieyo.
Additional regulations or restrictions may apply in the countries where your ad is displayed. You may be responsible for ensuring that your ad does not breach the policies of another platform when it is posted there.
If your ad is reported on Yuppieyo or any third-party platform, or if we believe it is causing problems or breaking any law or policy, we may remove it.
Fees and Services
Using Yuppieyo is generally free, but we sometimes charge a fee for certain services.
If the service you use incurs a payment, you’ll be able to review and accept terms that will be clearly disclosed when you post your ad.
Our fees are quoted in British Pounds Sterling, and we have the right to adjust them at any moment.
We will let you know if our charge policy changes by posting them on Yuppieyo.
We may temporarily adjust our pricing for promotional events or new services; these changes take effect when the promotional event or new service is announced.
When the Yuppieyo fees are due, you are responsible for paying them.
If you do not, we may limit your use of the services without prejudice to any other rights or remedies we may have under the “Terms of Use” or by law.
We may use various collection procedures to collect fees outstanding if your payment method fails or your account is past due.
You agree that your ads may be removed from Yuppieyo if we suspect that the “Terms of Use,” including our “Posting Rules,” have been violated, either directly or indirectly.
If you would have paid a fee for displaying such an ad, you may be entitled to a refund of said fee.
However, in the following circumstances, we reserve the right not to refund Yuppieyo users for any costs paid through the usage of Yuppieyo:
· If, in our opinion, you violate these Terms of Use, which include, but are not limited to, the Policies;
· If your ads went live with visibility on Yuppieyo sites, services, applications, or tools, even if just for a limited period, and they received value from the paid service;
· If your advertising appears in Yuppieyo’s Pets or Massage categories;
· If your ads are in “edit” mode and will be live on the site after you alter them;
· If you’ve taken down your adverts yourself;
· If you post duplicate advertising in violation of our duplicate ad policies;
· If we believe your adverts are in the wrong category;

In addition to the Yuppieyo services, ancillary goods or services such as insurance or car finance may be advertised on Yuppieyo.
Although users may advertise financial items in their advertising, Yuppieyo is not responsible for any losses suffered from such transactions.

Display and placement of user ads

We want to build a community where people can find what they’re looking for.
As a result, the appearance and placement of adverts in search and browse results will be influenced by several factors, including but not limited to:
· users’ location and search query/category chosen;
· category, content, location, and publication date of advertisements; and
· if the ad has a paid-for promotion.
· Yuppiyo is a platform to help bring local buyers and sellers together. As purchases are meant to be made in person, we do not have an option to pay directly through Yuppieyo.
Content
Yuppieyo contains content from us, you, and other users.
Yuppieyo is protected by copyright laws and international treaties.
The content displayed on or via Yuppieyo is protected as a collective work and/or compilation under copyrights laws and international conventions.
Without our prior written approval, you commit not to reproduce, distribute, or modify Yuppieyo content.
Any source code contained in Yuppieyo may not be disassembled or decompiled, reverse engineered, or otherwise attempted to be discovered.
Without limiting the preceding, you agree not to reproduce, copy, sell, resell, or exploit for any purposes any aspect of Yuppieyo (other than your own content).
In exchange for content, you authorise us a nonexclusive, worldwide, perpetual, irreversible, royalty-free, sub-licensable (through multiple tiers) right to exercise all copyright, publicity, trademarks, design, database, and intellectual property rights to that content in any media now established or later discovered, including, without limitation, on any third-party Platforms.
By providing us with content, you grant us the right to exhibit it on Platforms owned by the Yuppieyo corporate group and other online marketplaces, social media channels, blogs, and other marketing communications, such as on all other Platforms.
Furthermore, to the fullest extent permissible by law, you relinquish all moral rights you may have in the content.
Yuppieyo may occasionally supplement the information you submit in an ad with data from third-party data providers. For example, descriptions, product specifications, and other content may be included.
You may only use this information in connection with your Yuppieyo ad while active.
Copyright, trademark, and/or other rights may apply to the information supplied.
You agree not to delete any protected content or create derivative works based on it (other than by adding them to your ads).
At Yuppieyo’s sole discretion, this authorisation may be modified or revoked at any time.
Before submitting an ad, you may not have time to examine all supplemental data.
Yuppieyo is not responsible for the accuracy of any third party supplied supplementary data.
You are still responsible for ensuring your ads are truthful, don’t contain any misleading material, and follow these Terms of Service and other Yuppieyo standards.
Please inform us if you notice any discrepancies in this data after your ad is displayed on the site.

Infringement

Posting content that infringes on the rights of others is prohibited.
This includes, but is not constricted to, content that breaches intellectual properties on copyright, design, or trademark rights (e.g. offering counterfeit items for sale).
Private persons sell a wide variety of products on Yuppieyo.
Entitled parties, such as copyright, trademark, and other rights owners, can report any advertisement that may infringe on their rights and request that it be removed.
Suppose a legal representative of the entitled party reports this to us correctly; in that case, products infringing on intellectual property rights will be removed by Yuppieyo.

Reporting an infringement:

You simply need to fill out a Notice of Infringement Form and email it to Yuppiyo at info@yuppieyo.co.uk to be a part of the Notice of Infringement Program.
You can use this form, provided with your signature, to report adverts that may infringe on your property rights provided with your signature.
The information sought on the Notice of Infringement Form is used to verify that the parties reporting these objects are either the rightful party or their duly authorised representative.
Yuppieyo must be able to use this information to identify the ad that needs to be removed.
You can easily send subsequent reports to Yuppieyo using the email address provided once we have received your correctly filled Notice of Infringement Form.
Note: Only the rightful owners of the applicable intellectual property rights may use this form. The “Notice of Infringement” is designed to help rights holders guarantee that Yuppieyo users’ products do not infringe on their copyright, trademark, or other intellectual property rights.
Visitors and advertisers can get help using Yuppieyo’s help service for all other questions.

Liability

Nothing in these terms limits our liability for fraudulent misrepresentation, death or personal harm caused by our carelessness or that of our agents or employees.
You agree that you will not hold us liable for anything other users post or do.
We do not evaluate user postings and do not participate in actual users transactions.
However, because the majority of the content on Yuppieyo is contributed by users, we cannot guarantee the accuracy of postings or user conversations and the quality, safety, or legality of what is given.
We accept no liability of any kind for the posting of any illegal, threatening, abusive, defamatory, obscene, or inappropriate information or content of any type that breaches or violates the rights of any other person, including, without limitation, any data transmission composing or stimulating conduct that would be a criminal offence, give rise to civil liability, or otherwise violate any applicable law.
You agree that we cannot promise uninterrupted, error-free, or secure access to our services or that service issues will be fixed.
While we will make reasonable attempts to ensure that service is uninterrupted, we cannot promise it.
We make no assurances or warranties about the operation or availability of our sites, services, applications, or tools (explicit or implied).
Accordingly, to the degree legally permissible, we clearly disclaim any warranties, representations, and conditions, whether express or implied, including condition, merchantability, merchantable quality, durability, fitness for a specific purpose, and those deriving by statute.
We are not liable for any loss of money (including profit), goodwill, or reputation, or any special, indirect, or consequential damages resulting from your use of or failure to use Yuppieyo, even if you warn us or we might reasonably foresee the risk of such damage.
Because disclaimers of warranties and exclusions of damages are prohibited in some areas, such disclaimers and exclusions may not apply to you.
Regardless of the preceding paragraph, our culpability to you or any third party (whether in contract, tort, negligence, strict liability in tort, by statute, or otherwise) is limited to the greater of (a) the total fees you paid to us in the 12 months preceding the action giving rise to liability, or (b) 100 Pounds Sterling.

Release

Suppose you have a dispute with one or more Yuppieyo users.
In that case, you agree to hold us (and our officers, directors, agents, subsidiaries, joint ventures, and employees) harmless from any and all claims, demands, and damages (actual and consequential) of any kind and form, known or unknown, coming out of or in any way associated with such disputes.

Third-party rights

Under the Contracts (Rights of Third Parties) Act 1999, a person who is not a party to this Agreement has no right to enact any Terms of Use. However, this does not alter any right or remedy of a third party indicated in this Agreement or exists or is available apart from that Act.
Data Protection and Privacy
By using Yuppieyo, you agree to the collection, transfer, storage and use of your personal information by Yuppieyo on servers located in the Netherlands, the United States and China, as further described in our privacy notice.
As separate and independent controllers, you and Yuppieyo will process personal data obtained under and/or in accordance with these Terms of Use.
Under and/or in conjunction with this User Agreement, Yuppieyo and you shall never handle personal data as joint controllers or controller-to-processor relationships. You will be individually and separately responsible for complying with the requirements that apply to you as a controller under applicable data protection law as distinct and independent controllers.
You must follow all applicable data protection laws, including but not limited to Regulation (EU) 2016/679 (EU General Data Protection Regulation “GDPR”), as well as any other EU and local data protection laws.
This includes, but is not limited to, the responsibility to provide adequate measures when transferring personal data to a third country or international organisation.
You must only use personal data obtained from Yuppieyo for the purpose(s) for which you obtained it and/or in line with these Terms of Use.
After the applicable purpose(s) has/have been completed, you must immediately erase the personal data received under these Terms of Use.
Any further processing of the personal data is prohibited unless required by law (e.g., if a retention obligation applies).
Failure to comply with the requirements mentioned above may result in disciplinary action, including account suspension.
Yuppieyo has access to various user information, including personal data, as part of the services.
This includes information that users submit to Yuppieyo as part of the services (such as contact information or item descriptions) and information generated by the provision and processing of the services (such as ratings, sales analysis, or communication).
You receive information that is needed for the processing of transactions (in particular, the contact information of the other user involved in trade) as well as aggregated information on the performance and analysis of your ads, which is partly related to the data of other users of the services, via Yuppieyo.co.uk and its relevant sites, services, applications, or tools (such as the number of impressions of an ad, conversion rate or return rate).
Yuppieyo only shares user information with third parties if it is required for the provision of services or if Yuppieyo is legally or contractually obligated to do so.
We shall erase the information you submitted or created through using the services from your Yuppieyo account after these Terms of Use expire.
Regardless, suppose we are legally obligated or have a valid interest in doing so. In that case, we will keep this information after these Terms of Use expire.
After the “Terms of Use” expire, we will generally keep aggregated data created by the services (for example, statistics regarding ads in a category).

Resolution of disputes

Suppose a dispute arises between you and Yuppieyo.
In that situation, we strongly advise you to go to the Yuppieyo Help page and directly contact us to seek a solution.
We will consider reasonable demands to resolve the disagreement through alternative procedures such as mediation or arbitration as an alternative to litigation.

General

These conditions, along with any other policies displayed on Yuppieyo, form the entire Agreement between Yuppieyo and you, replacing any earlier agreements.
This Agreement does not intend or create any agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship.
The laws of England and Wales shall govern and construe this Agreement in all respects.
You agree that any claims or disagreements you may have against Yuppieyo.co.uk Limited to be resolved by the English and Welsh courts for resolution.
You and Yuppieyo agree to submit to the non-exclusive jurisdiction of the English Courts for claims that fall within the jurisdiction of a County Court; for claims that fall within the jurisdiction of a County Court, you and Yuppieyo both agree to submit to the jurisdiction of the West London County Court.
If we don’t enforce any particular provision, we are not waiving our right to do so later.
If any of these terms are overruled by a court, the remaining clauses will stand.
As a result, we may, at our absolute discretion, assign this Agreement in line with the notice provision below.
Except for notices relating to illegal or infringing content, you shall send your notices to Yuppieyo.co.uk Limited, 239 Chase Side, London, N14 5LD, United Kingdom, by registered email.
We will send you notices by email or registered mail at the address you give. Registered mail notices are considered received five days after the date of mailing.
We reserve the right to modify this Agreement at any time, with changes taking effect when you make your next post or 30 days after we post the amended policy on the Yuppieyo website, whichever comes first. Any additional changes to this Agreement must be made in writing and signed by both users and us.
